眼看這筆生意就要達成啦，但是客戶寫的合同條款，我有幾條感覺不妥，現(xiàn)在編輯下希望大家指點。
1. B)Full set clean on board Bill of Lading – 1 original 要全套清潔提單，清潔提單可以接受嗎？記得老師說過不讓接受這種要求。
2.Clause III - Shipment
1. The equipment will be packed and suitable for transportation.
2. Transshipment will be allowed.
3. Partial shipment will not be allowed.
4. The proper anti-corrosion and anti-rust measures will be adopted for suitable for long distance shipment.
特別是此條款的1和4條，可以接受嗎？我們合同上一般寫Packing with wooden case.
3.Claims must be made in written form and with inspection protocol signed and stamped by an independent state control organization.這個直接沒有弄明白說的什么，更別提接受此條款啦。
4.submitted the Arbitration Committees of the Chambers of Commerce in the contractual side's countries or the International Court in Paris. 仲裁的法庭在巴黎。
5.Insurance certificate for 110% of the invoice value of the good’s in currency made out to order of the BUYER -1 original，這個條款應該可以接受吧。以前沒有報過CIF價，所以對于保險這一塊不是很明白。

有關(guān)仲裁條款，在中國自己所在地進行的好
1. 包裝要適合運輸安全---當然是這樣的了。
3. 防腐防銹油要保證長途運輸不會中途生銹? 事宜
還有其它所列條款都很實在嘛！
謝謝大家的幫助，客戶現(xiàn)在自己找的船公司，讓我們報FOB價給他就可以啦。而且他也同意發(fā)貨前付清余款。現(xiàn)在就等著客戶下周一打定金啦，期待中。。。。
記得我們學的時候說： 船公司給的提單一般都是清潔提單，因為如果你的貨物存在問題的話船公司也不會承運，所以也就不會開出不清潔的提單了。
我還沒有實際操作過，這些只是課堂上的知識，僅供參考哦
這里面我只知道第一條O(∩_∩)O~我們學的時候是這樣的： 客戶大部分會要求提供全套清潔提單
這些都是一般的條款而已。沒什麼不可以接受的，
唯一要留意的是有關(guān)仲裁條款，那是要在巴黎進行，這對買方比較有利，不過如果你們的產(chǎn)品沒問題，也不需要什麼仲裁條款了。仲裁條款是在你的產(chǎn)品出了問題才有用的。
